Terms and Conditions

1. Introduction and Acceptance of Terms

Welcome to the website of PrepVia LLC, located at 650 NE 32nd Street, Apt. 4907, Miami, Florida, 33137 ("PrepVia", "we", "our", or "us"). By accessing or using this website and our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not use our website or services.

Users must be 18 years of age or older to use our services.

2. Services Provided

PrepVia provides logistics, storage, product preparation, and fulfillment services for e-commerce sellers. We operate strictly as a logistics and preparation company and do not engage in retail competition with our clients.

Prices and availability of services may change. Any price changes will be communicated to clients in advance and will not be applied retroactively without notice.

3. Payments and Subscriptions

  • All payments are processed through Stripe , and we accept all payment methods supported by Stripe.
  • Clients may also request to pay via Wire Transfer . In such cases, PrepVia will provide wire instructions upon written request by email. Wire payments are allowed at PrepVia's discretion and must reference the issued invoice.
  • Payments may also be made via Zelle , subject to prior written approval. Instructions for Zelle payments will be provided upon request.
  • Payments are due according to the invoice issued.
  • Important: Invoices must be paid within 5 days of the due date. After this grace period, a 5% late fee will apply, and any balance left unpaid beyond 30 days will accrue a 7% monthly late charge until settled.

  • In cases of non-payment, PrepVia reserves the right to pursue legal action, including liens against client property, and to withhold or liquidate inventory as compensation for unpaid balances.
  • Subscriptions with recurring plans will renew automatically on a monthly basis unless cancelled by the client directly through our website.

4. Storage and Abandonment

  • Storage invoices are due monthly. If storage is not paid within 5 days of the due date, a 5% late fee will be applied.
  • If storage remains unpaid for 35 days or more , PrepVia will issue a written notice . From that notice date, the client has 7 days to settle outstanding payments and remove inventory .
  • Warning: If payment is not made, PrepVia may, at its discretion, withhold, liquidate, or dispose of the inventory to cover unpaid fees. Inventory may also be retained by PrepVia as partial or full payment for outstanding balances.

5. Refunds and Cancellations

PrepVia provides services, not physical products. For this reason, all service fees are non-refundable .

Once your inventory has entered our warehouse and preparation has begun, no refunds or reversals will be granted .

If you wish to redirect or withdraw your inventory, PrepVia will apply the standard pallet or carton forwarding fees as listed in our pricing schedule.

6. Intellectual Property

All PrepVia intellectual property—including but not limited to our logo, software, website design, and proprietary systems—remains the exclusive property of PrepVia LLC .

You may not copy, reproduce, modify, distribute, or exploit any part of our intellectual property without our prior written consent.

7. Client Protection & Supplier Relations

PrepVia does not and will not attempt to interfere with or exploit your suppliers or supply chain partners .

If PrepVia is ever approached to work with a supplier that you currently use, we will first request your written authorization. If authorization is denied, PrepVia will not pursue any business with that supplier .

Note: We value our relationship with clients above all external opportunities.

8. Client Responsibilities

  • Clients must provide accurate and complete information regarding inventory, including but not limited to item descriptions, quantities, weights, and labeling requirements.
  • PrepVia will not be responsible for delays, errors, or losses caused by incorrect or incomplete client information.
  • Any additional costs incurred as a result of incorrect or incomplete information will be charged to the client.
  • The Client expressly agrees that PrepVia may contact the Client via email, telephone call, or SMS/text message using the contact information provided, for purposes related to Services, account updates, operational matters, marketing communications, and business development, unless the Client opts out in writing.

9. Inspection and Rejection Rights

PrepVia reserves the right to inspect all incoming inventory .

We may reject, refuse, or return at the client's expense any inventory that is:

  • Damaged, defective, expired, or unsafe;
  • Non-compliant with Amazon or carrier requirements;
  • Unauthorized or undisclosed hazardous materials.

10. Limitation of Liability

In no event shall PrepVia's total liability exceed the amount paid by the client for services in the last three (3) months .

PrepVia shall not be liable for:

  • Any indirect, incidental, special, or consequential damages, including loss of sales, profits, or goodwill;
  • Marketplace penalties, suspensions, or fines imposed by Amazon or other platforms;
  • Carrier delays, customs clearance issues, or third-party failures;
  • Inventory shipped to PrepVia without prior notice or confirmation of receipt;
  • Client misuse of labels, systems, or instructions.

If PrepVia is directly responsible for damage or destruction of inventory, PrepVia will reimburse the client for the product cost (based on invoice) plus a proportional share of shipping cost.

11. Indemnification

Clients agree to indemnify and hold harmless PrepVia LLC , its employees, and affiliates from any claims, damages, or expenses (including legal fees) arising out of:

  • Misuse of our services;
  • Submission of illegal or prohibited products;
  • Errors in client-provided information;
  • Violations of these Terms.

12. Force Majeure

PrepVia shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, labor disputes, wars, pandemics, system failures, or government restrictions.

13. PrepVia Profit Program

Participation in PrepVia Profit requires execution of a separate written agreement . That contract will outline specific risks, lien rights, and responsibilities associated with delayed or non-payment.

14. Modifications to Terms

PrepVia may update or amend these Terms at any time. We will provide notice of material changes, and continued use of our services after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida . Any disputes shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida .
